This customer Referral Sweepstakes Promotion (the “Promotion”) is sponsored and administered by RingCentral, Inc. (“RingCentral”), located at 20 Davis Drive, Belmont CA, 94002. The Promotion is governed by these official rules (“Official Rules”). By participating in the Promotion, each entrant (“Entrant”) agrees to abide by these Official Rules, including all eligibility requirements, and understands that the result of the Promotion, as determined by RingCentral or its agents, are final in all respects.
1. Entry Period: The entry period (“Entry Period”) for the Promotion runs from 12:00 AM Pacific Standard Time (“PST”), September 24, 2018 to 11:59 PM PST, October 31, 2018.
2. Eligibility: To enter the Promotion you must be (i) a lawful citizen or permanent resident of the United States and (ii) twenty-one (21) years of age or older and at least the age of majority in your jurisdiction of residence. Promotion is void outside of the United States and in any states, provinces and/or jurisdictions where restricted or prohibited by law. The Promotion, and any website pages and advertisements relating thereto, is intended for viewing only within the United States. You are not authorized to participate in the Promotion if you are not physically located within the United States when you enter the Promotion. Employees, officers, directors, resellers, agents, affiliates and representatives of RingCentral and other participating partners, including their affiliated companies, parents, subsidiaries and advertising and promotion agencies, (collectively, “RingCentral Entities”), and their immediate families and members of their households, are ineligible to participate in this Promotion.
3. How to Enter:
To become eligible for the Summer Social Giveaway, participants must register/login
to refer.ringcentral.com and be a verified RingCentral Referral Advocate. The
Summer Social Giveaway is a two step Giveaway system.
First step:

Submit
a qualified referral to RingCentral via the online portal
(ringcentral.com/refer), (2) send a referral promotional email using the
template in the official online referral portal (ringcentral.com/refer) and/or
(3) post a referral recommendation on an approved social media site using the
tools in the official online referral portal (ringcentral.com). Completing one (1) of the three previous
activities will gift you a $5 amazon gift card, completing two (2) activities will
gift you a $10 amazon gift card, and completing five (5) or more activities
will gift you a $30 amazon gift card. All activities, submissions and posts
must be completed by October 31, 2018 at 11:59 PM PST.

All
submitted referrals, email promotions, and social media posts as described in
Step 1 will be an Entry into the grand prize drawing up to the maximum entries
as defined below.
Participants are limited to one post per social media
platform per day. RingCentral will accept up to of 5 (five) entries per week
and maximum total of 30 (thirty) entries for the entire Entry Period of the
promotion per Entrant, household and/or e-mail for the grand prize (“Grand
Prize”) drawing. If more than the stated maximum Entries are received from the
same Entrant, household or email address, only the first qualifying Entries
received will be treated as eligible Entries for the Grand Prize drawing. In
the event of a dispute regarding who submitted a particular
Entry, the Entry will be deemed submitted by the authorized and
registered account holder of the e-mail account associated with the Entry. If
RingCentral believes participants are misusing this promotion or creating fake
accounts to increase their entries, RingCentral will investigate the activity
and withhold granting gift cards and additional prizes.
Participants will only receive the amazon gift cards for submitting a
referral using the official online portal. There are other official channels to
refer that will count as entries into the grand prize drawing, however, it is
not possible to receive amazon credit referring any other way than the online
referral portal.
Grand Prize Drawing:
Winners will be randomly selected from
eligible entries at the conclusion of the promotion. The
prizes include:

Total ARV of the Grand Prize is USD $5,000. Total ARV of all
grand prizes is approximately USD $7,500. GP Winner is solely responsible for
all expenses and costs associated with acceptance and/or use of Grand Prize not
specifically stated herein as being awarded, including, without limitation any and all taxes, incidental and personal costs, and other
expenses, costs, or fees associated with the acceptance and/or use of Grand
Prize. Sponsor shall have the right, but not the obligation, to make any
deductions and withholdings that Sponsor deems necessary or desirable under
applicable federal, state and local tax laws, rules, regulations, codes or
ordinances.
4. RingCentral is not responsible for lost, late, delayed,
damaged, unintelligible, illegible, misdirected, incomplete or garbled Entries;
your inability to enter your submission through the Internet; entry information
not captured correctly; for any issues associated with hardware, software,
telephone, Internet, virus contamination, network, human error, electronic
malfunctions, or any other technical problems; and for delay, failure or
malfunction for any reason. Incomplete or corrupted Entries are void and will
not be accepted. To be eligible, Entries must be received by the end of the
Entry Period (11:59 PM PST on October 31, 2018). All Entries will become the
sole and exclusive property of RingCentral and will not be returned to Entrant.
The Grand Prize will be awarded to one winner (the “GP
Winner”). The GP Winner will be chosen by random chance drawing among all
eligible entries.
Acceptance of the Grand Prize and additional prizes is strictly contingent on the respective winners agreeing to and accepting the terms and conditions of these Official Rules. If the GP Winner or recipient’s additional prizes refuse to agree and acknowledge acceptance to these Official Rules, each will forfeit their prizes entirely. Proof of citizenship and country entry requirements are the winners’ responsibility. All decisions by RingCentral in regard to this
Promotion are final and binding in all respects. Odds of winning are based on the number of valid Entries received.
No alternative prizes, cash equivalent, or other substitutions are permitted except as determined solely by RingCentral. Grand Prize and Prizes are nontransferable and non-assignable.
5. Prize Delivery/Acceptance: If a selected winner is deemed ineligible, the entry will be disqualified, and an alternate winner will be selected. RingCentral is not responsible for and shall not be liable for late, lost, misdirected, or unsuccessful efforts to notify winners. Grand Prize or Prizes will only be shipped to winners at the physical or email address provided by the Entrant on the entry form, affidavit or declaration of eligibility form (whichever was submitted later). A Grand Prize or Prize that is returned as undeliverable will disqualify a winner. Accepting and/or using Prize constitute permission (except where prohibited by law) for RingCentral to use a winner’s name, photo, voice, hometown, and/or likeness for promotional purposes without further compensation. RingCentral will not replace any lost or stolen Grand Prize or Prizes, including if lost during delivery. The actual delivery of Grand Prize or Prizes by RingCentral to a winner may be delayed for reasons outside of the control of RingCentral (including but limited to the postal or delivery services, back ordering, cancelation and the like). RingCentral is not responsible for any delay in the delivery of any Grand Prize or Prize to any winner.
6. Taxes: ALL FEDERAL, STATE AND LOCAL TAXES ASSOCIATED WITH THE RECEIPT OR USE OF ANY PRIZE ARE SOLELY THE RESPONSIBILITY OF THE PRIZE WINNER. In order to claim prizes, Entrants may be required to complete an affidavit or declaration of eligibility, liability and publicity release and W-9 tax form. Such forms must be signed and returned to RingCentral within seven (7) days of date printed on the notification provided by RingCentral or your Grand Prize or Gift Card Award may be voided in RingCentral’s sole discretion. The value of any prize will be treated as ordinary income to recipient for income tax purposes, and an IRS Form 1099 for the relevant year will be sent to the winners. Incidental expenses and all other costs and expenses which are not specifically listed as part of a Prize in these Official Rules and which may be associated with the award, acceptance, receipt and use of all or any portion of the awarded Grand Prize or Prizes are solely the responsibility of the respective Grand Prize or Prize winner.
7. Winners List and Official Rules: To obtain a copy of these Official Rules or list of winners, send a self-addressed, stamped envelope RingCentral, Inc., Attn: Summer Social Giveaway, quests must be received by November 30, 2018. 8. Privacy Policy: Personal information submitted for this Promotion will be subject to the Privacy Policy posted at http://www.ringcentral.com/legal/privacy-policy.html.
9. Publicity: By participating, each Entrant grants RingCentral permission to use his/her name, voice, hometown, likeness or comments for publicity purposes in regard to the Promotion without payment of additional consideration, except where prohibited by law.
10. DISCLAIMER, RELEASE AND LIMITATION OF LIABILITY: BY INTENDING TO ENTER AND/OR ENTERING THE PROMOTION, EACH ENTRANT AGREES TO RELEASE AND HOLD HARMLESS RINGCENTRAL, RINGCENTRAL ENTITIES AND THEIR RESPECTIVE PARTNERS, AFFILIATES AND SUBSIDIARY COMPANIES, ADMINISTRATOR, ADVERTISING AND PROMOTIONAL AGENCIES, AND ALL THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, REPRESENTATIVES, CONTRACTORS, AND AGENTS (THE “PROMOTION PARTIES”) FROM ANY CLAIM OR CAUSE OF ACTION, INCLUDING, BUT NOT LIMITED TO, PERSONAL INJURY, DEATH, OR DAMAGE TO OR LOSS OF PROPERTY, ARISING OUT OF PARTICIPATION IN THE PROMOTION OR RECEIPT OR USE OR MISUSE OF ANY PRIZE. THE PROMOTION PARTIES ARE NOT RESPONSIBLE FOR: (1) ANY INCORRECT OR INACCURATE INFORMATION, WHETHER CAUSED BY ENTRANTS, PRINTING ERRORS OR BY ANY OF THE EQUIPMENT OR PROGRAMMING ASSOCIATED WITH OR UTILIZED IN THE PROMOTION; (2) TECHNICAL FAILURES OF ANY KIND, INCLUDING, BUT NOT LIMITED TO MALFUNCTIONS, INTERRUPTIONS, OR DISCONNECTIONS IN PHONE LINES OR NETWORK HARDWARE OR SOFTWARE; (3) UNAUTHORIZED HUMAN INTERVENTION IN ANY PART OF THE ENTRY PROCESS OR THE PROMOTION; (4) TECHNICAL OR HUMAN ERROR WHICH MAY OCCUR IN THE ADMINISTRATION OF THE PROMOTION OR THE PROCESSING OF ENTRIES; OR (5) ANY INJURY OR DAMAGE TO PERSONS OR PROPERTY WHICH MAY BE CAUSED, DIRECTLY OR INDIRECTLY, IN WHOLE OR IN PART, FROM ENTRANT’S PARTICIPATION IN THE PROMOTION OR MISUSE OF ANY PRIZE. If for any reason any entrant’s entry is confirmed to have been erroneously deleted, lost, or otherwise corrupted, entrant’s sole remedy is another entry in the Promotion, provided that it is not possible to award another entry due to discontinuance of the Promotion, or any part of it, for any reason, Sponsor, at its discretion, may elect to hold a random drawing from among all eligible entries received up to the date of discontinuance for any or all of the prizes offered herein. No more than the stated number of prizes will be awarded. In the event that production, technical, programming or any other reasons cause more than the stated number of prizes as set forth in these Official Rules to be available and/or claimed, Sponsor reserves the right to award only the stated number of prizes by a random drawing among all legitimate, unawarded, eligible prize claims.
11. General: Any and all decisions related to the Promotion, these Official Rules, Promotion administration, verification and the like will be supervised by RingCentral, whose decisions are absolute and final in all respects. By participating in this Promotion, you agree to be bound by these Official Rules and that all decisions of RingCentral are absolute and final in all respects. RingCentral assumes no liability for damage caused to Entrant’s or any other person’s or entity’s computer hardware, software or communications network or other personal property regardless of cause. RingCentral reserves the right in its sole and absolute discretion to terminate (and not award any prizes to any Entrant), cancel, or modify the Promotion at any time and from time to time for any reason or no reason without or without notice or to disqualify any Entrant at any time and from time to time for any reason or no reason with or without notice in its sole judgment, including if, in RingCentral’s sole and reasonable judgment, it determines that the integrity or fairness of the Promotion has been, or could be, compromised or that the Promotion is not capable of running as planned or fairly, including without limitation infection by computer virus, bugs, tampering, unauthorized intervention (hacking), fraud, technical failures, force majeure or any other cause. RingCentral or the RingCentral Entities shall not be responsible for technical, pictorial, typographical or editorial errors or omissions in any marketing materials or these Official Rules. All information provided by Entrant for the Promotion is provided solely to RingCentral for RingCentral’s benefit and is not provided to any other entity.
THIS PROMOTION IS GOVERNED BY, AND WILL BE CONSTRUED IN ACCORDANCE WITH, THE LAWS OF THE STATE OF CALIFORNIA, AND THE FORUM AND VENUE FOR ANY DISPUTE SHALL BE IN THE COUNTY OF SAN FRANCISCO. IF THE CONTROVERSY OR CLAIM IS NOT OTHERWISE RESOLVED THROUGH DIRECDISCUSSIONS OR MEDIATION, IT SHALL THEN BE RESOLVED BY FINAL AND BINDING ARBITRATION ADMINISTERED, WITHOUT RESORT TO ANY FORM OF CLASS ACTION, BY JUDICIAL ARBITRATION AND MEDIATION SERVICES, INC., IN ACCORDANCE WITH ITS STREAMLINED ARBITRATION RULES AND PROCEDURES OR SUBSEQUENT VERSIONS THEREOF ("JAMS RULES"). THE JAMS RULES FOR SELECTION OF AN ARBITRATOR SHALL BE FOLLOWED, EXCEPT THAT THE ARBITRATOR SHALL BE EXPERIENCED AND LICENSED TO PRACTICE LAW IN CALIFORNIA. ALL PROCEEDINGS BROUGHT PURSUANT TO THIS PARAGRAPH WILL BE CONDUCTED IN THE COUNTY OF SAN FRANCISCO, CALIFORNIA. THE REMEDY FOR ANY CLAIM SHALL BE LIMITED TO ACTUAL DAMAGES, AND IN NO EVENT SHALL ANY PARTY BE ENTITLED TO RECOVER PUNITIVE, EXEMPLARY, CONSEQUENTIAL, OR INCIDENTIAL DAMAGES, INCLUDING ATTORNEYS FEES OR OTHER SUCH RELATED COSTS OF BRINGING A CLAIM, OR TO RESCIND THIS AGREEMENT OR SEEK INJUNCTIVE RELIEF OR ANY OTHER EQUITABLE RELIEF.
Except where prohibited by law, by entering this Promotion, each entrant hereby waives any right he/she may have to a trial by jury and agrees that any and all disputes, claims, actions and causes of action arising out of or connected with this Promotion or the prize awarded and all issues and questions concerning the validity, interpretation and enforceability of these Official Rules and other documents shall be resolved individually, without resort to any form of class action. Any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred and never shall include consequential, incidental or punitive damages, and in no event attorneys’ fees or costs. Some jurisdictions do not allow the limitation or exclusion of liability for punitive, incidental or consequential damages, so the above may not apply to you.
